[Financial News] Panstar Enterprise, a KOSDAQ-listed company in the Panstar Group, will restructure its business around shipping and shipbuilding and marine operations and work to improve corporate governance. After starting out in automotive maintenance equipment manufacturing, it expanded into logistics, cruises and ship engineering, and is now entering the container shipping business to strengthen its ties to the group's shipping operations.
Panstar Enterprise said on the 30th that its board had approved a proposal the previous day to consolidate every five common shares into one. If approved at an extraordinary shareholders' meeting on December 4, the total number of issued shares will fall from 59,023,445 to 11,804,689, and the par value will rise from 1,000 won to 5,000 won. There will be no change in the company's capital, and the consolidated shares are scheduled to be listed on January 18, 2027.
Container shipping is central to the business transition. The Panstar Group joined a joint-operation arrangement for scheduled container services on the Korea-Japan route in July 2026 and is working to enter Southeast Asian routes, starting with Vietnam. Panstar Enterprise is preparing services using chartered vessels and registration as an international scheduled cargo carrier. It is also pursuing the establishment of a local joint venture to enter China's freight transport market.
A company official explained, “Adding international scheduled cargo shipping to cargo handling, cruises and shipbuilding and marine operations would put the listed company in a position to directly take charge of a key pillar of the group's shipping value chain. This will establish the business foundation for it to be recognized as a shipping and shipbuilding and marine company spanning vessel operations, maintenance and retrofitting.”
The company will also develop its shipbuilding and marine division as a growth engine. The division's growth drivers are the Japanese market and floating storage and regasification units (FSRUs) and floating storage units (FSUs). It secured eight design contracts from Japanese shipyards and shipping companies this year, and FSRU and FSU projects account for 47% of its remaining order backlog of $5.347 million for the fourth quarter.
The company is also reportedly preparing to reorganize shareholdings among its affiliates and simplify its corporate governance as part of the business restructuring. It plans to improve its management structure to clarify the listed company's role and ensure the performance of each business division is reflected in corporate value. Specific plans for the reorganization will be finalized after board discussions and consultations with relevant agencies.
Panstar Group Chairman Kim Hyeon-gyeom, the largest shareholder, disclosed on the same day plans to buy 590,235 common shares on the open market from November 30 through December 29. The planned purchase is worth approximately 510 million won. Chairman Kim has bought 441,000 shares over the past six months, and if the entire plan is carried out, his cumulative purchases will exceed 1 million shares.
“The business transition and restructuring of a listed company are tasks that the largest shareholder must take responsibility for and lead from the outset,” Chairman Kim said. “I will stand on the same footing as shareholders and work with them through the company's transformation.”
