[Financial News] Aribio Holdings is seeking to link its existing lighting and electrical construction businesses with smart farming and solar power through its acquisition of Green Plus.
Aribio Holdings said on the 28th that it had signed an agreement to secure management control of Green Plus. The shares it will acquire through purchases of existing shares and a third-party allotment of new shares are worth a total of 14.956 billion won, with the acquisition scheduled for December 8. It also agreed to acquire convertible bonds (CBs) worth 3 billion won.
The deal is a strategic move to secure growth drivers for existing businesses and expand the scope of the group’s management business. The companies plan to leverage their production facilities, construction expertise and energy business capabilities to expand opportunities for new orders and product supply.
The deal also aligns with the group’s business strategy. At a vision proclamation ceremony on the 1st, Aribio Group unveiled a full-cycle business strategy linking prevention by Aribio Lab, treatment by Aribio Co., Ltd., and management by Aribio Holdings. Through the acquisition, Holdings plans to build up its manufacturing, construction and energy capabilities and define more specific areas that can be connected to its management business.
As a first step, it will integrate Green Plus’s technologies for designing and building advanced greenhouses and smart farms, as well as its aluminum materials production base, into its existing lighting and electrical construction businesses. It will also seek to expand its supply channels by leveraging the companies’ customer bases and sales networks.
In the solar power business, the companies are exploring collaboration on structures, equipment and electrical construction. The plan is to combine Green Plus’s capabilities in structures and equipment with Aribio Holdings’ electrical construction expertise to strengthen its ability to carry out projects needed to build solar power facilities.
An industry source said, “Smart farming and solar power are fields where multiple processes, including structures, equipment and electrical construction, intersect. After the acquisition, the key to realizing synergies will be turning each business’s technologies and sales networks into actual orders and improving efficiency between processes.”
An Aribio Holdings representative said, “We plan to broaden our business base, centered on lighting and electrical construction, to include smart farming, solar power and materials. We will improve profitability by growing our existing businesses and securing new revenue streams, and work to enhance corporate and shareholder value.”
