Dunamu-NAVER Financial Share Swap Postponed to March Next Year [Filing]

[Financial News] Dunamu disclosed on the 7th that it had postponed the schedule for its comprehensive share swap with NAVER Financial to March next year.
The share swap date has been changed from Dec. 31 this year to March 31 next year. The extraordinary shareholders’ meeting to approve the share swap agreement has also been postponed from Nov. 19 this year to Feb. 26 next year.
The share swap ratio remains unchanged. For each Dunamu share, 2.5422618 NAVER Financial shares will be issued. Once the share swap is completed, NAVER Financial will become Dunamu’s wholly owning parent, and Dunamu will become its wholly owned subsidiary.
The period for Dunamu shareholders opposed to the share swap to exercise their appraisal rights will run from Feb. 26 through March 18 next year. The expected purchase price is 439,252 won per share.
Dunamu plans to cancel up to 2,731,916 shares, including treasury shares acquired through the exercise of appraisal rights. Accordingly, the record date for the capital reduction has also been changed from Dec. 30 this year to March 30 next year.
