K2 Korea Group to Acquire NEPA... New Largest Shareholder to Replace MBK Partners

[Financial News] Outdoor brand NEPA will be acquired by K2 Korea Group. NEPA plans to improve its financial structure, while K2 Korea Group aims to strengthen its brand portfolio and increase synergies in its outdoor business.
According to industry sources on the 23rd, K2 Korea Group signed an agreement on the 22nd to acquire NEPA. K2 Korea Group plans to subscribe for and acquire new shares through NEPA's rights offering and participate in management as its new largest shareholder. MBK Partners, the existing largest shareholder, will not participate in the subscription for the new shares.
K2 Korea Group explained that it decided to pursue the acquisition after determining that NEPA's brand assets and customer base have strong growth potential. It plans to expand its distribution network and marketing investments while also considering entry into overseas markets over the medium to long term.
Through the rights offering, NEPA plans to ease its financial burden and establish a debt-free financial structure, allowing it to focus on product planning, design, and research and development (R&D). It is expected to enhance its competitiveness by leveraging K2 Group's manufacturing and sourcing infrastructure, supply chain (SCM), and distribution network.
A NEPA official said, "This is a strategic choice to enhance the brand competitiveness NEPA has built over many years." The official added, "We will present a vision for sustainable growth to both customers and partners."
A K2 Korea Group official said, "We will create synergies by combining K2 Korea Group's business expertise with NEPA's strengths and strengthen the brand's competitiveness through active investment."
