JR Global REIT Extends ARS for Another Month; ‘Sept. 28 Due Diligence Report’ to Be Turning Point for Normalization [Financial News Market Watch]

[Financial News] With JR Global REIT’s Autonomous Restructuring Support Program (ARS) extended for another month, its normalization efforts have entered the main phase of debt adjustment negotiations. Whether the company can devise a normalization plan capable of persuading public bondholders based on the due diligence report expected at the end of this month is expected to determine whether it can exit the ARS program.
According to investment banking (IB) and REIT industry sources on the 14th, the Seoul Bankruptcy Court extended JR Global REIT’s ARS consultation period by one additional month, through Oct. 14.
The key issue going forward is the due diligence report scheduled for Sept. 28. The findings of Samil PricewaterhouseCoopers, which was appointed as the investigator before the program began, after reviewing the company’s assets and liabilities, cash flow, and debt-servicing capacity are expected to serve as the benchmark for future negotiations with creditors.
JR Global REIT recently launched a dedicated website for public bondholders to provide information on the ARS process and the bondholders’ meeting. It has begun preparing for full-scale negotiations, including enabling creditors to exercise their voting rights at a future meeting after registering their information.
Accordingly, the period from the submission of the due diligence report at the end of September through Oct. 14 is expected to be critical for normalization. The key question is what normalization terms the company will propose based on the findings and whether it can secure bondholders’ consent. If an agreement is reached, the company can withdraw its application to commence rehabilitation proceedings and return to normal operations.
An IB industry source said, "More important than the extension of the ARS period itself is that the due diligence findings and normalization terms that creditors will assess are now set to be released. Whether JR Global REIT exits the ARS program will depend on how convincingly it can persuade bondholders based on the asset value and cash flow."
A JR Global REIT representative added, "We established a dedicated website to protect public bondholders’ rights and facilitate smooth consultations. We will pursue a swift normalization of management through discussions with creditors."
